What is the EU CSRD?

The Corporate Sustainability Reporting Directive (CSRD) is an EU regulation that requires companies to report detailed, standardised information on their environmental, social, and governance (ESG) impacts, risks, and opportunities. It replaces the older Non-Financial Reporting Directive (NFRD) and applies to a significantly broader range of companies.

Who does CSRD apply to?
Following the 2025 Omnibus amendments, CSRD now applies primarily to large companies with more than 1,000 employees and over €450 million net annual turnover. Non-EU undertakings generating €450 million net annual turnover in the EU and having a subsidiary or branch in the EU exceeding €200 million net turnover, may also be in the scope.
When do companies need to start reporting?
The largest companies (previously under NFRD) began reporting for financial year 2024. A “stop-the-clock” directive has postponed deadlines for wave two and wave 3 companies have been entirely exempted. Timelines are subject to ongoing Omnibus simplification proposals.
What is double materiality?

Double materiality requires companies to assess sustainability from two angles: how ESG issues affect the company’s financial performance (financial materiality), and how the company’s activities impact people and the environment (impact materiality). Both perspectives must be reported under CSRD.

What are the ESRS standards?

The European Sustainability Reporting Standards (ESRS) are the mandatory reporting standards developed by EFRAG under the CSRD. They cover cross-cutting topics as well as specific environmental, social, and governance themes that companies must disclose against, subject to materiality.

What is the penalty for non-compliance?

Penalties vary by EU Member State. They can be significant — in some jurisdictions reaching up to €10 million or 5% of annual global turnover, whichever is higher. Non-compliance also carries reputational and investor relations risks.

Do non-EU companies need to comply?
Yes, in certain cases. Non-EU parent companies with significant EU revenue (generating €450 million net annual turnover in the EU and having a subsidiary or branch in the EU exceeding €200 million net turnover) and at least one qualifying EU subsidiary or branch, will be required to produce a consolidated sustainability report under CSRD, with deadlines begining from financial year 2028.
