What does the sell-side advisory process entail, from initial engagement to final transaction closure?
Our process starts with an in-depth evaluation of the business and the business positioning exercise, followed by the preparation of marketing materials including the Information Memorandum (IM). We then conduct structured outreach to a targeted list of strategic and financial buyers, handle expressions of Interest, conduct management meetings and pave the way for competitive bidding. We accompany businesses throughout the term sheet negotiations, due diligence, definitive agreements and final closing, ensuring maximum value at each phase.
How is the appropriate valuation of a business established before initiating the market-facing process?
We utilize a mix of approaches such as DCF, comparable company analysis, precedent transaction multiples and a qualitative evaluation of growth story, market position and strategic value to a buyer. The goal is not just to arrive at a number, but to build a compelling valuation narrative that holds up through buyer scrutiny.
How are potential acquirers identified and engaged while preserving confidentiality throughout the transaction process?
We have a proprietary universe of buyers which includes strategic acquirers, private equity, family offices, and global investors. All outreach is conducted under strict NDAs and we make use of a blind profile approach with early stages where business identity is protected until buyer interest is qualified.
How long does the end-to-end process of a sell-side or buy-side transaction typically span?
The time period from mandate until closure varies from 6 to 12 months depending on the complexity of the transaction, buyer’s readiness and regulations. The funding for most MBOs comes from a mix of management’s equity contribution, private equity or growth capital from a financial sponsor and debt financing. Management teams rarely fund the full acquisition themselves, our role is to structure the deal so the equity stake is meaningful while bringing in the right financial partners to fill the gap.
